Senior Corporate Paralegal / Governance & Equity Administration | Boston (hybrid)
We are partnering with a well-established, publicly traded financial services firm to identify a Senior Corporate Paralegal to support a sophisticated legal and governance function. This role sits at the intersection of corporate governance, legal entity management, and equity administration, and will work closely with senior legal leadership in a highly regulated environment. This is an excellent opportunity for a seasoned, polished paralegal who enjoys operating close to decision-makers and owning critical infrastructure that supports a public company’s legal, compliance, and governance obligations. The successful candidate will play a key role in supporting: • Corporate governance and board operations, including preparation and maintenance of minutes, resolutions, records, and governance materials. • Legal entity management across a complex domestic and international entity structure (formations, qualifications, annual filings, good standing, organizational charts, authorized signatories, etc.). • Public company obligations, including support around proxy materials, Section 16 filings, exchange-related notices, and regulatory requests. • Equity / stock plan administration, including coordination around grants, vesting, exercises, and employee inquiries, in partnership with HR and Finance. • Ongoing interaction with outside counsel, internal stakeholders, and auditors, with a high degree of discretion and judgment.
