Paralegal – Corporate/Startup, Real Estate
Job Description: • Manage entity formation , corporate governance, minute books, and compliance calendars for early-stage companies. • Prepare and file state and federal securities filings (including Blue Sky filings). • Handle Carta onboarding , cap table updates, option/equity documentation, and related compliance tasks. • Assist with Series A/B and other venture financing transactions , including document preparation and closing checklists. • Draft, review, and organize transactional documents , consents, and agreements. • Support real estate transactional matters , including preparing closing documents, coordinating recordings, and managing due diligence checklists. • Conduct research, compile information, and maintain organized work product across multiple matters. • Provide reliable, responsive support on an as-needed basis , including quick-turnaround tasks. Requirements: • 3+ years of corporate/startup or securities paralegal experience (law firm background strongly preferred). • Hands-on experience with: Startup corporate matters • Venture financing (Seed, Series A/B) • Securities filings • Real estate transactional support • Direct experience with Carta onboarding and cap table management. • Ability to prepare and file corporate and securities documents independently with zero training. • Strong proficiency with legal research, document drafting, and compliance management. • Highly organized, proactive, and comfortable working in a fast-paced, remote environment. • Strong communication skills and the ability to work directly with attorneys.
