Legal & Compliance Analyst - Private funds

aVenture is seeking a knowledgeable paralegal with experience in private fund registration and regulatory compliance to work closely with our legal advisor in setting up our venture capital funds and complying with legal requirements. DescriptionaVenture is a San Francisco, California (USA) based financial technology startup, with a small global team (North and South America, Europe, Asia) looking to forever change investing by making venture capital investment funds available to everyone.aVenture is seeking a knowledgeable professional with experience in private fund registration and regulatory compliance to work closely with our legal advisor in setting up our venture capital funds and complying with legal requirements. An ideal candidate will have experience working as a legal or compliance associate in a venture capital, private fund, fund manager, investment advisor, brokerage, law firm, or related field. We are looking for a professional to join us full-time (40 hours a week) or part-time, and this position is available at a fixed rate of compensation per month or hourly rate.All payments are made in U.S. Dollars (USD). This is a remote position that can be done from anywhere in the world (work from home). This position requires a regular work schedule and must have at least 4 hours of US Pacific Time (UTC -7) availability per weekday in your schedule. Desired skills:• Working knowledge of securities laws and angel, venture, mutual funds, closed end funds, and/or private equity fund formation• Experience in a startup environment• Sound understanding of the Securities Acts of 1933 and 1934, and the Investment Company Act of 1940• Knowledge of SEC regulations and guidelines• Experience with mutual funds or other corporate financial services or law firm environment with exposure to securities matters is a plusJob duties:• Work closely with legal advisors and other legal staff to prepare SEC filings and other materials in connection with the SEC requirements• Assist with entity formation, drafting corporate organizational documents and corporate records maintenance• Analyze and review subscription agreements and side letters• Prepare and revise initial, annual, and amended registration statements which include private placement memorandum and operating agreements, and other similar documents• Prepare and draft various corporate documents for entity formation and maintenance of funds• Collaborate with legal and marketing staff, other internal departments, and external auditors on registration statements• Conduct due diligence, perform legal research and analysis, and other duties as assignedQualifications required:• 5+ years experience with U.S.securities compliance/law• Strong computer skills including Microsoft Word, Excel, PowerPoint, G Suite, Outlook• Excellent research, communication and writing skills• Familiarity with common legal research databases, such as LexisNexis, Thomson Reuters tools• Strong attention to detail• Capable of handling multiple responsibilities• Ability to work well in a team oriented environmentWhat to expect• You’ll be working with an experienced, knowledgeable, and friendly team of people passionate about making venture capital accessible for everyone• Each employee on our team is expected to have a stable work schedule they establish for when they begin and end work each day, and must have at least 4 hours of US Pacific Time business hours available Monday through Friday daily• A successful candidate will manage their time carefully, maintaining time entries of their work and managing a successful development task board (such as Jira), and participate in daily brief check-in meetings, along with weekly planning meetingsSalary$45,000 - $60,000 per year Apply tot his job
